Welcome to Elara IT Solutions. These Terms & Conditions (“Terms”) govern all services, products, and agreements between Elara IT Solutions, LLC (“Elara IT Solutions,” “we,” “us,” or “our”) and its clients (“Customer,” “you,” or “your”).
By engaging our services, accepting a quote, or submitting payment, you acknowledge that you have read, understood, and agreed to these Terms.
Hardware Costs: All hardware, equipment, and materials must be paid in full at the time of order.
Labor & Installation: Service and installation fees are due upon project completion, unless otherwise stated in writing.
All invoices are due on the date issued unless specified differently on the invoice.
Late payments are subject to a 10% monthly finance charge (equivalent to 120% annual interest) or the maximum rate allowed by law.
We accept Cash, Check, ACH, or Zelle payments to zelle@elarait.com.
Services may be suspended for accounts overdue by 30 days or more until the account is brought current.
Quotes are valid for 30 days unless otherwise noted.
Projects requiring special-order hardware or exceeding $1,000 may require a deposit or full prepayment before work begins.
Elara IT Solutions reserves the right to revise quotes if hardware or software pricing changes prior to payment or approval.
Hardware and software orders cannot be canceled or refunded once the order has been placed with a distributor or vendor.
Service cancellations must be submitted in writing. Any labor performed up to the cancellation date will be billed in full.
Deposits for special-order hardware, software, or licenses are non-refundable.
All configurations, documentation, and scripts developed by Elara IT Solutions remain intellectual property of the company until the associated invoices are paid in full.
Once paid in full, any relevant credentials, access, and documentation are transferred to the client.
Software licenses provided through Elara IT Solutions remain valid only while the client account is active and invoices are current.
Hardware Warranty: Manufacturer warranties apply as provided by the original manufacturer.
Workmanship Warranty: Elara IT Solutions provides a 90-day installation warranty covering labor and workmanship.
The warranty excludes misuse, tampering, third-party interference, environmental damage, or customer-supplied equipment.
Elara IT Solutions is not liable for any indirect, incidental, or consequential damages, including data loss, downtime, or business interruption.
Elara IT Solutions is not responsible for delays caused by vendor shortages, shipping issues, or acts of nature.
Client must ensure adequate power, network access, and physical conditions are available before installation.
Additional on-site work caused by unforeseen obstacles (e.g., damaged cabling, inaccessible walls, or electrical issues) may be billed separately.
Managed IT services, backups, and software licenses renew automatically unless canceled in writing 30 days prior to renewal.
Canceling a service does not entitle the client to prorated refunds for unused subscription time.
Both parties agree to keep all sensitive information, credentials, and client data confidential and not to disclose such information to any third party without consent, except as required by law.
Either party may terminate ongoing services with 30 days’ written notice.
All outstanding balances become immediately due upon termination.
Elara IT Solutions reserves the right to retain administrative access until payment is received in full.
If payment collection becomes necessary, the client agrees to pay all collection costs, attorney’s fees, and court costs incurred in enforcing payment or contract terms.
Late or non-payment may result in service suspension, data access restriction, or account termination.
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-law principles.
Any disputes shall be resolved exclusively in the courts of Palm Beach County, Florida.
By engaging in business with Elara IT Solutions, accepting a quote, or submitting payment, you acknowledge and agree to abide by these Terms & Conditions.
